Maths Minds (‘Maths Minds) is a limited company trading under the company name:
Closing the Gap Ltd number 11200931 whose registered office is at 31 Hamilton
Crescent. These Terms and Conditions (‘Agreement’) form the contract between Maths
Minds (‘we’ or ‘us’ or ‘our’) and the Parents or any persons (‘you’ or ‘client’) who engage
the Service of Maths Minds on behalf of their son/daughter/dependant (‘your child’).
These Terms and Conditions (‘Agreement’) also form the contract between Maths
Minds (‘we’ or ‘us’ or ‘our’) and the tutors (‘you’ or ‘client’) who engage the Service of
Maths Minds is a company providing online tuition and maths revision products and
workbooks to enhance the learning of maths for children.
These Terms and Conditions (and any document referred to in them including the
Confirmation Correspondence) contain the entire agreement (“Agreement”) between us
and you and supersede any prior agreement between us relating to their subject matter.
Nothing in this clause shall limit or exclude any liability for fraud.
These Terms and Conditions shall apply (and be deemed to be accepted by you) from
the date in which you pay for the service of Maths Minds or agree and sign freelancer
terms and conditions from Maths Minds. Unless otherwise agreed in writing by a
Director of Maths Minds, these Terms and Conditions shall prevail over any other terms
of business or conditions put forward by you. To the extent that there is any conflict or
inconsistency between any Confirmation Correspondence and the terms contained
herein the terms contained in the Confirmation Correspondence shall take precedence
for the relevant Service.
To the extent that the Tutor is engaged by Maths Minds as a self-employed Tutor
nothing contained within this Agreement shall constitute the relationship of employer
and employee and/or worker or a partnership between Maths Minds and the Tutor, or
between you and the Tutor.
3. Maths Minds Obligations
3.1 To offer a high-quality online tutoring service with equipment for your child to make
progress in maths.
3.2 To maintain a functioning Website, including communication systems, and an online
tutoring platform wherever possible. Maths Minds cannot guarantee that the Website
will always be available, or that it will always work, but it will try to have it up and running
properly at all times. Every now and again, the Website might need to be taken offline
for maintenance purposes.
3.3 To communicate any planned maintenance of the Website or downtime.
3.4 To use reasonable endeavours to keep the Website free from viruses.
3.5 To use reasonable endeavours to check the identity of all Tutors and ensure they
are DBS checked and QTS qualified.
3.6 To endeavour to ensure Complaints are considered promptly and in accordance
with these terms and conditions.
4. User Responsibilities – this applies to both Students and Tutors,
and anyone else who uses the Website
4.1 Users are responsible for their own security in conjunction with the services through
the Website, both online and offline.
4.2 Users are solely responsible for the material they post on the Website, including
messages sent, and they must not post defamatory, offensive or illegal material.
4.3 Users must immediately report to Maths Minds any defamatory, offensive or illegal
material they view on the Website.
4.4 Users must exercise their own judgement regarding the accuracy of information
provided on the Website. Maths Minds cannot and does not guarantee that all of the
content on the Website is complete, accurate or up-to-date.
4.5 Users must contact Maths Minds immediately if they believe their password has
been compromised. Users will be responsible for the actions of any interactions
conducted in their name until they have notified Maths Minds that they believe their
password has been compromised.
4.6 Users must not use the Website with the intention of engaging directly with other
Users outside of the Maths Minds environment. Users must not promote opportunities
or services of any company other than Maths Minds on the Website.
3.8 Any User who fails, in Maths Minds opinion, to comply with these terms and
conditions may be immediately suspended from using the Website and any related
services. Maths Minds reserves the right to cancel any existing subscriptions in such
5. Child Protection
5.1 Maths Minds seeks to provide the best service possible and provide a safe
experience in which children can learn.
5.2 Any User who is the parent of a child under the age of 18 who has an online lesson
with a Tutor should not leave the child in the sole care of that Tutor.
5.3 A Tutor is not responsible for chaperoning minors or guarding a house and/or
household effects. Please ensure that when a Tutor is with your child at your place of
residence, a responsible adult is also present at all times during the Tutoring.
5.4 All Tutors must comply with the The Tutors' Association Child Protection Policy,
whether or not they are a member of The Tutors' Association, and all relevant legislation
and government guidance. The Policy can be found at this
5.5 If any User has a concern regarding child protection, they should contact Maths

If you have a complaint against the Tutor or against us, you must inform us of that
complaint within 24 hours of the occurrence that gave rise to it by sending an email to
firstname.lastname@example.org . Any opinion expressed by the Tutor is not an
expression of the opinions of Maths Minds. Neither Maths Minds nor any of its staff shall
be liable to you for any loss, injury, damage, expense or delay incurred or suffered by
you arising directly or indirectly from or in any way connected with the introduction or
supply of a Tutor to you or with any failure by Maths Minds to introduce or supply a
Tutor and, in particular, but without limitation to the foregoing, any such loss, injury,
damage, expense or delay arising from or in any way connected with
• failure of the Tutor to meet your requirements for all or any of the purposes for
which he or she is required by you;
• any act or omission of a Tutor, whether wilful, negligent, fraudulent, dishonest,
reckless or otherwise;
• and any loss, injury, damage, expense or delay incurred or suffered by a Tutor,
provided that nothing in this clause 8 shall exclude or restrict the liability of Maths Minds
to you for death or personal injury resulting from negligence or for fraudulent
misrepresentation or in any other circumstances where liability may not be so limited
under any applicable law.
7. Changes to these terms and conditions
7.1 Maths Minds may change these terms and conditions by posting the revised version
on the Website at least 7 days before they become effective. Please check the Website
from time to time. Users will be bound by the revised terms and conditions if they
continue to use the Website or the services following the effective date shown.
All Intellectual Property Rights in or arising out of or in connection with the Service shall
be owned by Maths Minds
All materials supplied in accordance with the Service are the exclusive property of the
8. GOVERNING LAW AND JURISDICTION
This Agreement (and any non-contractual obligations or dispute or claim arising out of
or in connection with it or its subject matter) shall be governed by English law and the
parties hereby submit to the exclusive jurisdiction of the English Courts
